INDEPENDENT REPRESENTATIVE CONTRACT AGREEMENT

As an independent representative of International Discount Center Club also called "COMPANY", I understand and agree that:
1) I am of legal age in the state of my residency and upon acceptance of this application by the COMPANY, I will have the right to sell the COMPANY's products and services in accordance with the COMPANY's compensation plan.

2) As an independent representative, I am a wholly independent marketing representative, who establishes and services customers of the COMPANY’s products and services as an independent contractor. I am free to set my own hours and determine my own location and methods of selling within guidelines and requirements of this Agreement. The acceptance of this Agreement does not constitute the sale of a franchise or a distributorship nor are there any exclusive territories granted to anyone. No franchise fees have been paid, nor am I requiring any interest in a security by the acceptance of this Agreement.

3) As an independent contractor, I am responsible for the payment of all federal and state self-employment taxes and any other taxes or fees required under any federal, state or regulatory taxing agencies.

4) I understand that there are no fees, distributor kits or product purchases required to become an independent distributor.

5) I will read and review the COMPANY's compensation plan and policies and procedures. I agree to abide by these documents and acknowledge that each are incorporated as a part of this Agreement by reference. I understand and agree that these documents maybe amended from time to time and I agree to be bound by these amendments when published in official COMPANY’S literature.

6) I agree to conduct myself as an independent representative for International Discount Center Club in a legal, professional and ethical manner at all times. I understand that no statements or representations whatsoever may be made regarding the COMPANY’s operation other than those approved and provided in writing by the COMPANY. Failure to adhere to all terms of this Agreement is cause for termination.

7) I will not produce, promote or use material of any kind describing COMPANY’s names. Programs, products and trademarked, copyrighted or otherwise protected materials if such materials are not obtained from or approved in writing by the COMPANY.

8) I agree to familiarize myself with policies, services, products and product literature of the COMPANY.

9) The COMPANY and the independent representative understand and agree that the COMPANY may, at its election, modify, these terms and conditions, the policies and procedures and the marketing plan from time to time upon reasonable notice to independent representative.

10) I am entitled to terminate my distributorship at anytime by giving written notice to the COMPANY. Voluntary termination is effective upon receipt of such notice by the COMPANY. The COMPANY may involuntarily terminate my distributorship in accordance with the policies and procedures if I violate any of the COMPANY’s terms under this Agreement. Any termination of this Agreement cancels my right to receive any commission, override, or bonus of any nature.

11) Independent representative agrees to indemnify, defend, and hold International Discount Center Club free and harmless from all claims , demands, losses, costs, expenses, obligations, liabilities, damages, recoveries, and difficulties, including penalties, attorney’s fees, and costs that International Discount Center Club may incur as a result of a breach by independent representative of any representation or Agreement contained in this Agreement.

12) Neither this Agreement nor any duties or obligations under this Agreement may be assigned by independent representative without the prior written consent of International Discount Center Club.

13) Any written, printed, graphic or electronically or magnetically recorded information furnished by the COMPANY for independent representative use are the sole property of the COMPANY. This proprietary information include, but is not limited to, customer requirements, customer lists, marketing information, and information concerning International Discount Center Club suppliers, service providers, products, services, prices, operations, and subsidiaries. Independent representative acknowledges that these information constitute trade secrets of the COMPANY, and that the sale of unauthorized use or disclosure of any of the COMPANY trade secrets obtained by independent representative during his/her contractual relationship with the COMPANY constitutes unfair competition. Independent representative promises and agrees not to engage in any unfair competition with International Discount Center Club.

14) This Agreement constitutes the entire Agreement between the distributor and the COMPANY and no other additional promises, representation, guarantees or agreements of any kind shall be valid unless in writing.

15) This Agreement shall be governed by the laws of the state of California and all claims, disputes or other matters between the parties shall be brought in the State or federal court of California.

16) I have read, understood and willingly accept the terms and conditions of this Agreement.

By submitting this independent representative application and agreement electronically to us, you are hereby accepting all the terms and conditions of the independent representative contract agreement and shall be bind by it's provisions.
